We are seeking a Legal Manager (Strong Commercial) to support business growth by leading contract management, commercial negotiations, and legal risk control across distribution, partnerships, and cross-border activities. This role will work closely with business leaders to provide practical legal solutions that enable expansion while protecting LiveSpo’s long-term interests.

Key Responsibilities

Commercial Legal & Contracts – MUST HAVE 

  • Draft, review, and negotiate a wide range of contracts, including international distribution agreements, OEM/ODM contracts, strategic partnership agreements, procurement of major machinery and equipment, raw material supply contracts, advertising/media agreements, and service contracts. 

  • Provide legal advice on commercial law, civil law, advertising regulations, and intellectual property to ensue the company’s best interests in all transactions. 

  • Develop, standardize, and manage the company’s contract templates and legal approval processes. 

Pharmaceutical Legal Compliance – Nice to Have 

  • Advise on legal procedures related to product registration, notification, labeling, and advertising in compliance with Ministry of Health regulations. 

  • Collaborate with the Regulatory Affairs team to ensure product compliance in both domestic and international markets. 

Corporate Governance (Corporate Legal) 

  • Advise the Board of Directors and Executive Committee on legal requirements for IPO preparation, including corporate structure, legal documentation, disclosures, financial transparency, and risk management. 

  • Build and enhance corporate governance frameworks: internal policies, approval workflows, bylaws, authorization matrices. 

Risk Management & Compliance 

  • Develop and implement the company-wide legal risk management framework. 

  • Monitor and update changes in laws related to pharmaceuticals, commerce, investment, intellectual property, and labor. 

  • Conduct training and guidance on legal compliance and risk awareness for internal teams. 
     

Job Requirements

  • Bachelor’s degree in Law; Lawyer Practicing Certificate preferred. 

  • Minimum 8- 12 years of experience in corporate legal, with strong expertise in Commercial Legal (mandatory). 

  • Preferably experienced in the pharmaceutical sector: product registration, notification, labeling. 

  • Experience in major machinery procurement projects or factory setup. 

  • Background in corporate environments or companies preparing for IPO is a strong advantage. 

Professional Skills & Competencies 

  • Strong knowledge of commercial law, civil law, intellectual property, and advertising regulations. 

  • Excellent skills in drafting and negotiating complex commercial contracts. 

  • Understanding of legal requirements in cross-border transactions. 

  • Strong analytical skills with the ability to propose strategic legal solutions. 

Advanced English, including: 

  • Drafting and negotiating international contracts 

  • Direct communication with foreign partners 

  • Reading and analyzing legal documents in English 

  • Clear communication in bilingual meetings 

  • Preferred: candidates who use English as a primary working language
